These Terms and Conditions (“Terms”) govern the provision of services by COG IT Technologies Incorporated (“Company”, “we”, “us”, “our”) to the customer (“Client”, “you”).
By engaging our services, requesting a quote, or allowing work to begin, you agree to these Terms.

1. Scope of Services
Services include IT services, structured cabling, security camera installation, access control systems, alarm systems, and related technology services as described in the agreed quotation, work order, or service agreement.
Only the services explicitly listed in the written scope of work are included. Any additional work requested or required will be quoted and billed separately.

2. Estimates and Quotes
All quotes are valid for 30 days unless otherwise stated. Pricing may change due to:

Changes in scope

Site conditions not visible or disclosed prior to work

Supplier price increases or equipment availability
Quotes do not include taxes unless stated.
3. Scheduling and Access
The Client must provide safe, reasonable access to the premises, equipment, and required infrastructure at the scheduled time.
Delays caused by lack of access, incomplete site readiness, or third-party interference may result in rescheduling fees or additional charges.
4. Payment Terms
Payment terms are outlined in the invoice or service agreement.

Deposits may be required before work begins

Final payment is due upon completion unless otherwise agreed

Late payments may be subject to service suspension and collection costs
All equipment remains the property of the Company until paid in full.
5. Cancellations and Refunds

Services already performed are non-refundable

Cancellations with less than 24 hours’ notice may be billed

Hardware deposits are non-refundable once equipment has been ordered
6. Client Responsibilities
The Client is responsible for:

Ensuring the site complies with building, electrical, and safety codes

Backing up data prior to IT work
-
Obtaining landlord or property-owner approval where required
The Company is not responsible for data loss, pre-existing system failures, or undocumented infrastructure issues.
7. Hardware, Software, and Third-Party Services
The Company does not manufacture hardware or software and is not responsible for manufacturer defects beyond facilitating warranty claims.
Third-party services (internet providers, cloud platforms, monitoring services) are subject to their own terms and availability.
8. Warranties and Limitations
Workmanship is warranted for 30 days unless otherwise stated. This does not cover:

Misuse, tampering, or environmental damage

Changes made by third parties

Normal wear and tear
No guarantee is made that systems will be uninterrupted or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, the Company’s liability is limited to the amount paid for the services provided.
The Company is not liable for:

Loss of business, revenue, or profits

Security breaches beyond installed system capabilities

Indirect, incidental, or consequential damages
10. Confidentiality
We take reasonable steps to protect client information but do not guarantee absolute confidentiality due to the nature of electronic systems.
11. Termination of Service
We reserve the right to suspend or terminate services for non-payment, unsafe conditions, or violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada.
13. Changes to Terms
We may update these Terms from time to time. Continued use of our services constitutes acceptance of the updated Terms.
